Caterpillar Dodges $100 Million Verdict in Contract Dispute
A major court ruling shakes up a $100M case, questioning projections in a high-stakes clash over contracts, competition, and marketplace disruption.

A Delaware federal court recently vacated a $100 million damages award against Caterpillar Inc., stemming from allegations that the manufacturing giant interfered with a contract between International Construction Products LLC (ICP) and IronPlanet. ICP had accused Caterpillar of pressuring IronPlanet to cancel a partnership for hosting a marketplace for new Chinese equipment, which had been launched in 2015. The court's ruling came after ICP failed to demonstrate that its projected losses were based on solid evidence.
The Charges
ICP's lawsuit, filed in 2015, centered around claims of tortious interference and antitrust violations. The company argued that Caterpillar, alongside its dealers, coerced IronPlanet to cancel the agreement, using its influence in the industry to disrupt ICP's business operations. The interference allegedly occurred after the marketplace for new equipment had been launched, with ICP claiming that Caterpillar threatened to withhold supplies from IronPlanet unless the contract was terminated. A jury found Caterpillar liable for the breach of contract but rejected the antitrust claims. The jury awarded $100 million in damages.
The Trial
The trial revealed that the dispute was complex, involving both contractual relationships and claims of market manipulation. Despite this, U.S. District Judge Richard G. Andrews ultimately sided with Caterpillar, vacating the damages award. In his ruling, Judge Andrews pointed out that ICP’s damages claims were speculative, citing the company's inability to provide reliable evidence of lost revenue or market share in a nascent industry with no historical data to back up its projections.
Judge Andrews found that ICP's estimates of millions of dollars in potential earnings were overly optimistic, especially given that the company had sold only one piece of equipment through IronPlanet at the time of the alleged interference. "Projections for a new company selling a new product in an unfamiliar market, without a proven track record, are speculative at best," the judge stated in his opinion.
Potential Damages
The $100 million in damages initially awarded was based on projections that ICP could have earned substantial revenues had the alleged interference not occurred. However, the judge ruled that these projections lacked reasonable certainty and were based on assumptions rather than hard evidence. The court’s decision significantly reduced the potential financial repercussions for Caterpillar, although the possibility of a future appeal remains.
What's Next?
Caterpillar has filed an appeal against the decision, which means the case could continue through the courts. Although the damages have been vacated, the jury's finding of liability for tortious interference remains intact. This leaves the door open for further legal proceedings, including potential retrials or settlements, especially in light of the ongoing legal challenges in the case. For now, Caterpillar has escaped the $100 million financial blow, but its legal battle with ICP is far from over.
